Terms of Service

1. Agreement

By accessing or using the Nanorix Verify API, website, or related services ("Service"), you agree to these Terms of Service ("Terms"). "You" means the individual or entity using the Service. "We," "us," and "Nanorix" refer to Nanorix Inc., a Delaware C-Corporation.

2. Service Description

Nanorix Verify provides ephemeral computing environments with cryptographic destruction proofs ("CDPs"). Data submitted to the Service is processed in volatile memory, destroyed upon session termination, and a signed CDP is returned as proof of destruction. The Service does not store, retain, or archive your data or CDPs after session termination.

3. Accounts and API Keys

You must provide a valid email address to create an account. You are responsible for safeguarding your API key and for all activity under your account. API keys are shown once at creation and cannot be recovered. Notify us immediately at security@nanorix.io if you believe your key has been compromised.

4. Acceptable Use

You may use the Service for any lawful purpose. You agree not to: (a) attempt to access other customers' sessions or data; (b) circumvent rate limits, quotas, or security controls; (c) use the Service to process, store, or transmit malware; (d) reverse engineer the Service's infrastructure beyond what is publicly documented; (e) resell access to the Service without written authorization.

5. Pricing and Payment

Free tier accounts are subject to usage limits as published on our website. Paid subscriptions are billed monthly via Stripe. Prices may change with 30 days' written notice. Refunds are not provided for partial billing periods. If payment fails, your account may be downgraded to the free tier after a 7-day grace period.

6. Service Level

We target 99.9% API availability but do not currently offer a formal SLA. The Service is provided on a commercially reasonable basis. We will provide reasonable notice of planned maintenance. Unplanned outages will be communicated via our status channels.

7. Data Handling

Data submitted to sessions exists only in volatile memory during the session's lifetime. Upon session destruction, all data is cryptographically destroyed and a CDP is generated as proof. We do not retain copies of your session data, execution outputs, or CDPs. Our database stores only: your email, hashed API key, subscription tier, and aggregate usage counts. 8. Cryptographic Destruction Proofs

CDPs are returned to you in the API response upon session destruction. You are responsible for storing, archiving, and managing your CDPs. We do not retain CDPs after delivery. CDPs are signed with ephemeral Ed25519 keys — the private key is destroyed immediately after signing. Verification public keys are retained for independent verification via the public /v1/keys endpoint.

9. Intellectual Property

The Service, its architecture, and the CDP protocol are the intellectual property of Nanorix Inc. A provisional patent application has been filed covering the destruction chain architecture and CDP specification. The CDP verification algorithm and JSON format are publicly documented to enable independent verification by auditors and customers.

10. Limitation of Liability

To the maximum extent permitted by law, Nanorix shall not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits or revenue, whether incurred directly or indirectly. Our total liability for any claim arising from the Service shall not exceed the amount you paid us in the 12 months preceding the claim, or $100, whichever is greater.

11. Warranty Disclaimer

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. While the CDP cryptographically attests to the destruction operations performed, it does not constitute a legal guarantee of data destruction under any specific regulatory framework. You are responsible for determining whether CDPs satisfy your compliance requirements.

12. Termination

Either party may terminate at any time. You may delete your account by contacting founder@nanorix.io. We may suspend or terminate accounts that violate these Terms or are inactive for more than 12 months. Upon termination, your API key is revoked and account data is deleted within 30 days.

13. Changes to Terms

We may update these Terms with 30 days' notice via email or website posting. Continued use of the Service after the effective date constitutes acceptance. If you disagree with changes, your remedy is to stop using the Service and request account deletion.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
